Position: Legal Counsel (1 position)

Position purpose
Perseus Mining owns the Nyanzaga Gold Project and it is recruiting a Legal Counsel to support its Tanzanian operations. The Legal Counsel will be responsible for managing all legal and compliance aspects of Perseus in Tanzania. The role includes being responsible for company secretarial aspects of the Perseus Tanzania entities.
Roles and Responsibilities
- Drafting, negotiating, monitoring and executing legal and commercial documentation
- Monitoring the lodgement of government applications, forms and reports
- Liaison with Government on legal, compliance and other matters as required
- Advising managers on legal and compliance matters
- Administering and managing all corporate, governance and compliance matters including organising and minuting board meetings for the Perseus Tanzania entities
Operations
- Assistance with the timely development of budgets and forecasts, as they relate to the legal department
- Achievement of specific Key Performance Indicators (KPI’s) that have been agreed in respect of each financial year
- Liaison with the external lawyers of all Perseus Tanzania companies
- Ensuring that all contracts have been properly authorised prior to execution
- Identify and report weaknesses in internal controls or procedural breaches which could impact on Perseus Tanzania activities
- Liaison with government and Perseus managers as required to ensure approvals and renewals of permits, etc are obtained on a timely basis
- Ensure that new and proposed legislative changes are advised within the Group, and feedback provided to government where necessary
- Monitor and ensure compliance with all relevant laws and regulations that are applicable to Perseus’s business interests, including government reporting requirements
- Contribution towards Business Improvement Initiatives (“BII”) aimed at reducing costs
- Advice to HR staff and managers on local employment matters and IR compliance
- Provide employees relations support to Operations to ensure compliance with all Tanzanian labour laws.
- Liaison with government shareholders and external directors of Perseus Tanzania companies with the view to achieving efficient approvals of resolutions required
Qualification/ experience/ skills
- Tertiary qualification in law, desirable to be admitted as an advocate
- 10+ years’ experience in corporate and commercial law in a law firm or inhouse
- Experience in mining is desirable
- Experience in dealing with Tanzanian regulators
- Sound knowledge of the Tanzanian legal system
- Sound written and spoken English language skills
